An Estate, also referred to as a decedent estate, is a legal body established after a person’s passing. The Estate of the Deceased is made up of their real and/or personal property. After the Estate pays off any outstanding bills owed by the deceased, the leftover assets are distributed to the beneficiaries. Whether or not a person had a will, they nonetheless leave behind an Estate when they pass away. When property is jointly owned with a right of survivorship, it passes immediately to one owner without going through probate and does not form part of the estate. Trust (All Types)

Every kind of Trust, such as receiverships, irrevocable trusts, revocable trusts, conservatorships, custodianships, and guardianships. A fiduciary arrangement known as a Trust permits a trustee, or third party, to hold assets on behalf of one or more beneficiaries. Trusts come in a variety of configurations and can dictate the precise manner and timing of the transfer of assets to the beneficiaries. Your beneficiaries may receive access to these assets sooner than they may to assets bequeathed through a will because Trusts typically avoid probate. Partnership

A Partnership is an arrangement in which two or more individuals engage in trade or business. Everyone makes a contribution-cash, goods, labor, or skill-and splits the company’s gains and losses. A Partnership does not pay income tax; instead, it is required to file an annual information return detailing all of its operations’ income, deductions, gains, losses, etc. Rather than that, it “passes through” gains or losses to its partners. On their individual tax returns, each partner reports their portion of the partnership’s profits or losses. A Form W-2 should not be provided to partners since they are not employees. Copies of Schedule K-1 (Form 1065) must be sent to the partner by the Partnership.

S-Corporation

A corporation is an individual or group of individuals that form a legal entity by submitting articles of incorporation to the secretary of state of the state, which bestows upon it a range of legal rights, benefits, and obligations. A legally allowed domestic corporation that elects to choose this status by using Form 2553 (Election by a Small Business Corporation) is known as an S- Corporation. This allows the corporation to avoid paying taxes twice: once to its shareholders and once to the corporation itself. S-Corporations are typically free from federal income tax, with the exception of some capital gains and passive income. A partnership or sole proprietor is not the same as a S- Corporation.

A corporation is a company created under law, with certain legal rights, obligations, and powers granted by a charter. An individual or group of people may form a company by obtaining a charter from the secretary of state of the state. A corporation has an endless lifespan and becomes an independent entity upon formation. If they so choose, C- Corporations are able to pay corporate taxes on earnings prior to disbursing dividends to their shareholders. The dividends that each individual shareholder receives are then liable to personal income taxes.

What is a Federal Tax ID Number / EIN?

A Federal Tax ID number, also called an Employer Identification Number, is also known by the acronyms EIN, FEIN, and TIN. It is similar to a Social Security Number (SSN) in that it is used by the Internal Revenue Service to identify taxpayers. Every EIN has a unique nine-digit number allocated to it. Sole proprietors are only given one EIN, which is valid for life. In most cases, any of the following entity types—LLC, Corporation, Partnership, S-Corporation, Non-Profit Organization, Trust, Estate, etc.—must obtain an EIN in order to conduct business within the United States. After being issued by the IRS to a business, an entity’s EIN becomes that business’s permanent Federal Tax ID Number.
